By creating an account on WinPath, you agree to be bound by these Terms of Service. Acceptance occurs once, at the time of registration, via a mandatory checkbox. You do not need to re-accept on each sign-in. If you do not agree to these terms, do not create an account or use the platform.
“WinPath,” “we,” “us,” or “our” refers to WinPath (winpathgov.com). “You” or “user” means any individual or entity that creates or uses an account on the platform.
WinPath is a capture management platform designed to assist business development (BD) professionals at federal government contractors. The platform supports pursuit tracking, pipeline management, and AI-assisted capture intelligence for opportunities across:
WinPath may not be used for any unlawful purpose, to violate procurement integrity laws, or to facilitate bid rigging, collusion, or any other anticompetitive conduct.
AI outputs are not guaranteed to be accurate.
WinPath uses the following AI services to generate analysis, summaries, and recommendations:
AI outputs may be inaccurate, incomplete, outdated, or fabricated (hallucinated). PWin (probability of win) scores are estimates only and are not actuarial predictions. Capture strategies, incumbent assessments, and competitive analyses generated by the platform are advisory in nature only.
You must independently verify all AI-generated outputs against official sources — including SAM.gov, agency websites, and the actual solicitation documents — before relying on them for any business decision. WinPath accepts no liability for decisions made on the basis of AI outputs.
You are solely responsible for ensuring that your use of WinPath complies with all applicable procurement laws, regulations, and ethics rules, including:
WinPath does not provide legal advice. Nothing in this platform constitutes legal, regulatory, or compliance counsel. You should consult a qualified attorney for procurement compliance questions.
WinPath implements the following security controls:
Security is not guaranteed.
Despite these controls, no system is fully secure. WinPath provides its platform on an “as-is” basis with respect to security. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures.
Liability cap for security breaches: In the event of a data breach attributable to WinPath, our total liability to you is limited to the greater of (a) fees paid by you in the 12 months preceding the breach, or (b) $100 USD. Cyberattacks, infrastructure outages, and third-party security failures are force majeure events for which WinPath bears no liability.

WinPath is NOT FedRAMP authorized and is not designed, certified, or approved for use with any regulated government data.
Current pricing is published at winpathgov.com/pricing. We do not state prices in these Terms because pricing may be updated from time to time. The pricing page is always authoritative.
Subscriptions are billed on a recurring basis (monthly or annual, depending on the plan selected). Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date via the Settings → Billing page.
ALL SALES ARE FINAL. NO REFUNDS UNDER ANY CIRCUMSTANCES.
The following situations are explicitly non-refundable, without exception:
Chargebacks and payment disputes: Initiating a chargeback or payment dispute with your card issuer constitutes a material breach of these Terms and will result in immediate account termination. We reserve the right to pursue collection of all disputed amounts plus fees.
WinPath is built on the following third-party infrastructure providers. By using WinPath, you acknowledge that your data passes through or is processed by these services:
WinPath is not responsible for the availability, accuracy, or security practices of these third-party providers. Their respective terms of service and privacy policies govern their handling of data.
WinPath owns: All platform code, software, designs, UI/UX, AI prompts, model fine-tuning, trademarks, service marks, and other intellectual property embodied in or associated with the WinPath platform.
You own:All pursuit data, opportunity notes, contact records, uploaded RFP documents, and other content you create or input into WinPath (“User Content”).
You grant WinPath a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the platform to you. We do not claim ownership of your User Content, and we do not use your User Content to train public AI models.
Subject to your compliance with these Terms and payment of applicable fees, WinPath grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the platform for your internal business purposes.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
You agree to defend, indemnify, and hold harmless WinPath and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party’s rights.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Binding arbitration:Any dispute, claim, or controversy arising out of or relating to these Terms or your use of WinPath that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver: You expressly waive any right to participate in any class action lawsuit, class-wide arbitration, private attorney general action, or any other representative proceeding against WinPath. All claims must be brought in your individual capacity only.
Exception: Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
We may update these Terms from time to time. When we do, we will increment the version number, update the effective date, and notify you via a banner within the WinPath application. Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the new Terms.
